1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Site Foundry ("we," "us" or "our"), concerning your access to and use of the https://sitefoundry.com website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the "Site").

2. Intellectual Property Rights

Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.

Client Ownership: Upon full payment of all fees, Site Foundry grants the Client a perpetual, non-exclusive, non-transferable license to use the final website deliverables for their intended business purpose. Site Foundry retains ownership of all underlying tools, frameworks, and pre-existing code used to create the deliverables.

3. Fees and Payment

You agree to pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

4. Disclaimer of Warranties

The site and services are provided on an "as-is" and "as-available" basis. You agree that your use of the site and our services will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the site and your use thereof, including, without limitation, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

5. Limitation of Liability

These Terms shall be governed by and defined following the laws of the State of Delaware. Site Foundry and yourself irrevocably consent that the courts of Delaware shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
